These Terms of Service (the "Terms") are a binding agreement between you and IntelliRise ("Stat Strike", "we", "us") governing your use of the Stat Strike website, applications, application programming interfaces, and related services (together, the "Service"). By creating an account, purchasing a membership, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. The Service is offered to residents of the United States. You are responsible for complying with the laws that apply to you, including any laws governing fantasy sports contests and wagering where you live.
2. What Stat Strike is, and is not
Stat Strike is an analytics and decision-support tool for fantasy football. It combines statistics, schedules, league data, and other information with analyst-prepared analysis to help you make roster, lineup, waiver, and trade decisions.
Stat Strike is not a gambling service, does not accept wagers, and does not provide betting advice. Daily fantasy contests are hosted by the operators (for example, DraftKings and FanDuel), not by Stat Strike. Stat Strike only produces lineup files that you review and upload yourself. It never enters contests, handles funds, or accesses your operator account. Stat Strike is not affiliated with, endorsed by, or sponsored by the National Football League, any team, any player, or any fantasy league platform. Team names, player names, and statistics are used for identification and informational purposes only.
3. Accounts and league connections
You must provide accurate account information and keep your login credentials confidential. You are responsible for all activity under your account. One person may use an account. Accounts may not be shared, sold, or transferred.
When you connect a fantasy league from a third-party platform (for example, Sleeper), you authorize Stat Strike to read your league, roster, matchup, transaction, and related data from that platform and to store it in the Service. You represent that you are permitted to grant that access under the platform's terms. We do not receive your credentials for those platforms unless a platform requires it, and we never post, trade, or change anything in your league.
4. Memberships, billing, and the Founding Member offer
Plans. The Service is offered through paid annual memberships (currently Pro and Elite). Features included in each plan are described on the pricing page at the time of purchase and may be expanded over time. Some Elite features are identified as "as they ship" and will become available during your membership term.
Payment and renewal. Memberships are billed in advance for a one-year term through our payment processor, Stripe. Your membership renews automatically at the end of each term for another one-year term at the then-current price for your plan unless you cancel before the renewal date. You authorize us and Stripe to charge your payment method for each renewal. We will send you a reminder before each annual renewal. You can cancel at any time from your account page ("Manage billing"). cancellation takes effect at the end of the current term, and you keep access until then.
Founding Member price lock. Founding Member memberships are offered in limited numbers per plan for a limited time as shown on the pricing page. A Founding Member's annual price is locked for as long as the membership remains continuously active. If a Founding Member membership lapses, is canceled and not renewed, or is terminated for breach, the price lock ends and any new membership is at the then-current standard price.
No refunds. All membership purchases are final. We do not offer refunds, credits, or prorated amounts for partial terms, unused features, changes in your league or roster, or dissatisfaction with the Service, except where a refund is required by applicable law. This is disclosed before every purchase.
Taxes and failed payments. Prices exclude applicable taxes, which are added at checkout where required. If a renewal payment fails, we may retry it and may suspend access until payment succeeds.
5. Data, logging, retention, and analysis improvement
This section summarizes how we handle data. The Privacy Policy provides the full description and controls.
What we log. We record how the Service is used, including the questions and prompts you submit, the responses and recommendations the Service produces, the database queries the Service runs to answer you, pages viewed and actions taken, connected-league data, membership and billing events, and technical information such as timestamps, device type, and approximate location derived from your network address.
How we use it. We use this information to operate, secure, support, and bill the Service, to measure and improve accuracy and performance, to personalize the Service for you, and to train, evaluate, and improve our analyst systems, prompts, and workflows. By using the Service you grant Stat Strike a perpetual, irrevocable, worldwide, royalty-free license to use the prompts, questions, feedback, and other content you submit, and the Service's responses to them, for these purposes.
Retention. We retain logged data for as long as it is useful for the purposes above, which may be indefinitely. Logged data is not deleted when you cancel your membership.
When you delete your account. If you delete your account, we delete or irreversibly de-identify your personal identifiers, including your name, email address, account identifiers at connected league platforms, and payment identifiers, and we disconnect your leagues. Interaction logs, prompts, responses, and usage records are retained in de-identified form so that they can no longer reasonably be associated with you. We remove contact details that appear inside prompts as part of de-identification. Records that we must keep for legal, tax, or accounting purposes are kept for the period required by law.
Sale of data. We do not sell your personal information and we do not share it with third parties for their own marketing.
Third-party data. Statistics, schedules, images, and other content in the Service come from third-party sources under open or commercial licenses. We identify the source of the data shown in the Service. Some projections, rankings, trade values, injury notes, and news summaries are generated by Stat Strike from public data until licensed data feeds are connected. They are estimates for research and are not statements of fact. This content is provided for your personal, non-commercial use within the Service. You may not extract, redistribute, republish, resell, or build a competing dataset or service from it.
Data sources and licences
All data is supplied by SportsData.io.
6. Acceptable use
You agree not to scrape, crawl, or bulk-download content or data from the Service. You also agree not to use automated tools to submit prompts or queries at volumes beyond normal personal use, resell, sublicense, or provide the Service or its outputs to third parties as a service, reverse engineer, decompile, or attempt to extract the models, prompts, or source code of the Service, bypass or probe security or access controls, submit unlawful, infringing, or abusive content, use the Service in violation of any third-party platform's terms, or use the Service for any unlawful purpose, including any wagering activity that is unlawful where you are.
We may suspend or terminate accounts that violate this section.
7. Analyst-prepared content and no professional advice
Much of the Service's output is prepared by analyst systems working from data we hold. The Service checks that statistics quoted in an answer come from the underlying data, but the analysis can still be incomplete, out of date, or wrong, and fantasy outcomes depend on events no one can predict. You are responsible for your own roster and league decisions. Nothing in the Service is professional, financial, legal, or wagering advice, and we make no promise that following the Service's suggestions will produce any result.
8. Intellectual property
The Service, including its software, design, models, prompts, text, and compilations of data, is owned by Stat Strike or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own non-commercial fantasy football play during your membership. If you send us feedback or suggestions, we may use them without obligation to you.
9. Third-party services
The Service depends on third-party services, including league platforms, data providers, cloud infrastructure, and Stripe for payments. Their availability and terms are outside our control. Your use of a third-party service through Stat Strike is subject to that service's terms.
10. Termination
You may stop using the Service at any time, cancel your membership from your account page, or delete your account. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service. If we discontinue the Service entirely during a paid term, we will refund the unused portion of that term notwithstanding Section 4. Sections 5, 7, 8, 11, 12, 13, and 14 survive termination.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL BE COMPLETE OR CURRENT.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, STAT STRIKE AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, PRIZES, WINNINGS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations. In those places our liability is limited to the greatest extent permitted.
13. Indemnification
You agree to indemnify and hold harmless Stat Strike and its owners, employees, contractors, and licensors from claims, losses, and expenses, including reasonable attorneys' fees, arising from your violation of these Terms, your use of the Service, or your violation of any law or third-party right.
14. Dispute resolution and governing law
Informal resolution first. Before filing a claim, you agree to contact us by email and give us 30 days to try to resolve the dispute.
Arbitration. Any dispute that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court. The arbitrator may award the same relief a court could award to you individually.
Class action waiver. Disputes must be brought on an individual basis. You and Stat Strike waive any right to participate in a class, collective, or representative action.
Opt-out. You may opt out of this arbitration agreement by emailing us within 30 days of first accepting these Terms, stating that you opt out.
Governing law. These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law rules, and by the Federal Arbitration Act.
15. Changes to the Service and these Terms
We may change the Service, add or retire features, and change prices for future terms. We may update these Terms from time to time. When we make material changes we will post the updated Terms with a new effective date and notify you in the Service or by email before they take effect. Your continued use after the effective date means you accept the updated Terms. Price changes never affect an active Founding Member price lock.
16. General
These Terms and the Privacy Policy are the entire agreement between you and Stat Strike about the Service. If any provision is found unenforceable, the rest remain in effect. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver. Notices to you may be sent to the email address on your account.
